CYBERSECURITY CONSULTING AGREEMENT THIS CYBERSECURITY CONSULTING AGREEMENT (the "Agreement") is entered into on this [Agreement Date] (the "Effective Date"), by and between: THE CYBERSECURITY CONSULTANT: [Lead Cybersecurity Consultant], holding professional credentials [Professional Certifications], operating under the banner [Consultancy Practice / Entity] (hereinafter referred to as the "Consultant", which expression shall, unless repugnant to the context, include their successors, legal heirs, and permitted assigns) of the FIRST PART; AND THE CLIENT: [Client / Target Organization] (hereinafter referred to as the "Client", which expression shall, unless repugnant to the context, include its authorized officers, successors, and permitted assigns) of the SECOND PART. WHEREAS: A. The Consultant is a certified information security specialist experienced in threat modeling, vulnerability assessment, penetration testing (VAPT), and cybersecurity audits. B. The Client desires to retain the Consultant to conduct an authorized security evaluation of its designated technical systems and infrastructure. NOW, THEREFORE, the Parties agree as follows: 1. AUTHORIZED SCOPE AND SAFE HARBOR PROVISIONS 1.1 The Client explicitly authorizes the Consultant to perform security evaluations on the designated target infrastructure: [Target Scope & Infrastructure Boundaries] 1.2 The assessment category shall be: Penetration Testing. 1.3 Safe Harbor & Legal Authorization: The Client represents that it is the lawful owner or authorized operator of the target systems. The testing conducted by the Consultant within the agreed boundaries constitutes authorized access pursuant to Section 43 and Section 66 of the Information Technology Act 2000. The Client waives any right to initiate criminal or civil complaints against the Consultant for activities executed in strict conformance with this scope. 2. TIMELINE AND TESTING PROTOCOLS 2.1 Testing shall occur within the agreed timeline: [Assessment Timeline & Windows]. 2.2 The Consultant shall avoid intentional destructive actions, deletion of live production data, denial-of-service (DoS) crashes, or disruption of Client customer operations. If unforeseen instability occurs, testing shall halt immediately and the Client's point of contact shall be alerted. 3. DELIVERABLES AND AUDIT REPORTING 3.1 The Consultant shall deliver comprehensive technical findings as follows: [Deliverables & Reporting Specifications] 3.2 A re-test of high and critical severity findings shall be performed within thirty (30) days of the initial report at no extra fee to verify patch remediation. 4. COMMERCIAL CONSIDERATION AND PAYMENT TERMS 4.1 The Client shall pay to the Consultant a total consulting fee of INR [Total Consulting Fee (INR)] (Indian Rupees). 4.2 Payment shall be structured as: 50% mobilization deposit prior to commencement of active testing, and 50% upon delivery of the final assessment report. 4.3 Payment shall be remitted within seven (7) days of invoice via direct bank transfer. 4.4 Applicable Tax Deducted at Source (TDS) under Section 194J of the Income Tax Act 1961 shall apply, accompanied by Form 16A certificates. 5. CONFIDENTIALITY AND NON-DISCLOSURE 5.1 The Parties agree to the following stringent confidentiality rules: [Confidentiality & Non-Disclosure Scope] 5.2 All discovered security vulnerabilities, exploit payloads, configuration weaknesses, and system architecture details shall be treated as Top Secret confidential information. 5.3 The Consultant shall not publicly disclose any vulnerability (responsible disclosure or otherwise) without the prior written approval of the Client. 5.4 Both Parties shall adhere to mandatory incident reporting guidelines promulgated by the Indian Computer Emergency Response Team (CERT-In). 6. OPERATIONAL DISCLAIMERS AND LIMITATION OF LIABILITY 6.1 The operational parameters and liability caps are agreed as follows: [Operational Disclaimer & Liability Cap] 6.2 No Warranty of Absolute Immunity: Security testing represents a point-in-time assessment. The Consultant does not warrant that testing will identify every conceivable vulnerability or guarantee absolute immunity against future zero-day cyber attacks. 6.3 The Consultant's maximum aggregate financial liability arising out of this Agreement under any legal theory shall not exceed the total fees paid by the Client to the Consultant. 7. INDEPENDENT CONTRACTOR RELATIONSHIP The Consultant is an independent expert and not an employee or agent of the Client under the Indian Contract Act 1872. 8. TERM AND TERMINATION 8.1 This Agreement shall terminate upon delivery of the final report and completion of verification re-testing. 8.2 Either Party may terminate this Agreement immediately upon written notice if the other Party commits a material breach. 9. GOVERNING LAW AND DISPUTE RESOLUTION This Agreement is governed by the laws of India, including the Indian Contract Act 1872 and the Information Technology Act 2000. Any dispute arising out of this Agreement shall be referred to arbitration in India before a sole arbitrator in accordance with the Arbitration and Conciliation Act 1996. SCHEDULE OF TERMS, COVENANTS & CONDITIONS(6 ACTIVE CLAUSES)

1. TENURE & TERM OF LEASE: The term of this lease/tenancy shall be for a fixed duration of {{duration_months}} months commencing on {{commencement_date}} and terminating on {{expiry_date}} unless renewed by mutual consent.

6. SUB-LEASE & ASSIGNMENT PROHIBITION: The Second Party is strictly prohibited from sub-letting, parting with possession, or assigning any portion of the premises to third parties without prior written consent.
