The Service Provider is engaged in the business of servicing, maintaining, and repairing refrigeration and HVAC equipment with skilled and certified technicians. C. The Parties have agreed to enter into an Annual Maintenance Contract on the terms and conditions outlined below. NOW THIS CONTRACT WITNESSETH AND IT IS HEREBY MUTUALLY CONVENANTED AS FOLLOWS: 1. COVERED EQUIPMENT AND PREMISES 1.1 This Contract strictly covers the air conditioning units detailed below: [Air Conditioner Specifications and Serial Numbers] 1.2 The equipment is installed and operating at the Client's premises situated at: [Premises Address]. 1.3 Any additional units installed on the premises during the contract term shall require an addendum and supplementary fee calculation. 2. SCOPE OF SERVICES AND PREVENTATIVE VISITS 2.1 The Service Provider shall deliver routine preventative maintenance visits based on the agreed frequency: Quarterly. 2.2 Routine preventative servicing shall include: (a) Comprehensive high-pressure water jet washing of indoor cooling coils and outdoor condensing coils; (b) Cleaning and sanitizing air filters, evaporator fins, and drain trays; (c) Unclogging and chemical flushing of condensate drain pipes to prevent room leakage; (d) Operating pressure checks, suction pressure checks, and compressor electrical amperage testing; (e) Blower wheel cleaning, tightening of loose electrical connections, and remote controller check. 3. BREAKDOWN CALLS AND RESPONSE TIME 3.1 In the event of cooling failure, gas leakage, unusual vibrations, or mechanical stoppage, the Service Provider shall dispatch a technician within the guaranteed response window of: [Breakdown Attendance Response Time]. 3.2 Breakdown visits during the contract period shall be unlimited in number and free of any separate diagnostic or visiting fee. 4. SPARE PARTS AND CONSUMABLES POLICY 4.1 The allocation of costs regarding spare parts, replacement electronic circuit boards, compressors, and refrigerant gas charging is defined as follows: [Coverage of Spares, Gas Refilling, and Components] 4.2 Where spare parts or R32/R410A refrigerant gas charges are payable by the Client, the Service Provider shall present an upfront written estimate for approval before replacing the component or replenishing refrigerant. 4.3 Replaced functional components shall carry a minimum ninety (90) day manufacturer or workshop warranty. 5. CONTRACT CONSIDERATION AND PAYMENT TERMS 5.1 The total annual consideration for this maintenance contract is INR [Total Annual AMC Fee (INR)] (Indian Rupees [Total Annual AMC Fee (INR)]). 5.2 The payment shall be remitted by the Client in accordance with the following terms: [Payment Schedule and Terms] 5.3 Timely payment is a condition precedent to the Service Provider's obligation to provide emergency breakdown attendance. 6. TERM AND TERMINATION 6.1 This Contract shall remain valid for a duration of [Contract Duration / Validity] commencing from the date of execution. 6.2 Either Party may terminate this Contract upon thirty (30) days written notice. In the event of termination by the Client without cause, the Service Provider shall refund the unexpired pro-rata fee after deducting the full standalone cost of routine services already performed. 7. EXCLUSIONS AND LIMITATION OF LIABILITY 7.1 This Contract does not cover: physical casing damage caused by external accidents, corrosion due to coastal sea air or industrial chemical pollution, damage caused by rodent or pest infestation chewing through wires, or failures resulting from voltage fluctuations exceeding manufacturer operating tolerances (+/- 10%). 7.2 The Service Provider's total liability under this Contract shall under no circumstances exceed the total annual fee paid by the Client. 8. GOVERNING LAW AND DISPUTE RESOLUTION 8.1 This Contract shall be interpreted and governed by the laws of India, including the Indian Contract Act, 1872. 8.2 Any dispute arising out of this Contract shall be resolved through friendly negotiations. If unresolved, the dispute shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996, before a sole arbitrator appointed by mutual consent. 8.3 Courts having jurisdiction over [Service Center Office Address] shall have exclusive jurisdiction.
