REF: PHOTOGRAPHY-SERVICE-AGREEMENT PHOTOGRAPHY SERVICE AGREEMENT
THIS PHOTOGRAPHY SERVICE AGREEMENT is entered into on this [Agreement Date] at [Place of Execution], India:
BY AND BETWEEN:
[Photographer or Studio Name], professional photographer / creative studio operating in India (hereinafter referred to as the "PHOTOGRAPHER", which expression shall unless repugnant to the context include its successors and permitted assigns) of the FIRST PART;
AND:
[Client Full Name], residing / operating in India (hereinafter referred to as the "CLIENT", which expression shall unless repugnant to the context include legal heirs, representatives, and permitted assigns) of the SECOND PART.
The Photographer and the Client are hereinafter collectively referred to as the "Parties" and individually as a "Party".
WHEREAS:
A. The Photographer is an experienced professional engaged in providing commercial, event, portrait, and artistic photography services.
B. The Client desires to engage the Photographer to photograph the event or session described as [Event or Shoot Type] on the terms and conditions set forth herein.
NOW, THEREFORE, IN CONSIDERATION OF THE MUTUAL COVENANTS CONTAINED HEREIN, THE PARTIES AGREE AS FOLLOWS:
1. APPOINTMENT AND SCOPE OF WORK:
The Client hereby engages the Photographer, and the Photographer agrees to provide professional photography services for [Event or Shoot Type] on [Event or Shoot Date] at the venue located at [Shoot Location or Venue]. The agreed shoot coverage shall be [Shoot Coverage Duration]. The Photographer shall deploy appropriate photographic equipment, lenses, lighting, and technical assistance as required for quality execution.
2. DELIVERABLES AND PRODUCTION SCHEDULE:
The Photographer shall deliver the completed photographic assets as specified below:

The agreed timeline for delivery is [Final Delivery Timeline]. The Photographer shall furnish digital previews or proof galleries for selection, following which final edited high-resolution images shall be delivered via secure digital transfer or physical storage drive.
3. FINANCIAL CONSIDERATION AND PAYMENT TERMS:
(a) Total Agreed Fee: The total professional fee payable by the Client for the services and deliverables is INR [Total Professional Fee (INR)] (Indian Rupees [Total Professional Fee (INR)] only).
(b) Advance Booking Deposit: The Client shall pay an earnest advance of INR [Advance Booking Fee (INR)] upon signing this Agreement to confirm and lock the booking date.
(c) Balance Settlement: The outstanding balance of INR [Total Professional Fee (INR)] minus INR [Advance Booking Fee (INR)] shall be fully cleared on or before the shoot date or upon presentation of low-resolution digital proofs prior to final asset handover. All payments shall be made by bank transfer, UPI, or designated legal financial instruments in India.
4. CANCELLATION, RESCHEDULING, AND REFUND TERMS:
The cancellation and rescheduling terms agreed between the Parties are as follows:

In the event of cancellation by the Client without contractual justification, the advance booking amount shall stand forfeited to compensate the Photographer for dates reserved and loss of alternative commercial bookings.
5. INTELLECTUAL PROPERTY RIGHTS AND LICENSING:

Pursuant to the provisions of the Indian Copyright Act, 1957, the Photographer retains all statutory moral rights and author copyright over all raw negatives, digital raw files, and artistic images created during the engagement. The Client is granted an irrevocable, perpetual, royalty-free, non-exclusive licence to reproduce, print, display, and share the delivered final photographs for personal, private, and domestic purposes. Any commercial exploitation, resale, sub-licensing, or transfer to third-party commercial publications requires separate prior written consent and commercial licence terms. The Photographer reserves the customary right to use selected photographs in their professional portfolio, website, competitions, and promotional social channels.
6. COOPERATION AND WORKING CONDITIONS:
The Client shall ensure that the Photographer is granted unhindered access to the venue at [Shoot Location or Venue], reasonable working clearance, necessary passes, and timely access to key participants. The Client shall not hold the Photographer liable for missed moments caused by obstructions, guest interference, venue lighting restrictions, or deviations from the planned itinerary.
7. LIMITATION OF LIABILITY AND FORCE MAJEURE:
If the Photographer is unable to perform due to illness, severe injury, mechanical camera failure, transport interruption, extreme weather, strike, or an act of God, the Photographer shall make reasonable efforts to arrange a competent substitute professional of equivalent standing, failing which the Photographer shall refund all sums received from the Client in full satisfaction of all claims. The maximum liability of the Photographer under any circumstance shall not exceed the total fee paid hereunder.
8. DISPUTE RESOLUTION AND GOVERNING LAW:
This Agreement shall be governed by and construed in accordance with the laws of India, including the Indian Contract Act, 1872. Any dispute, claim, or controversy arising out of or relating to this Agreement shall be referred to arbitration by a sole arbitrator mutually appointed by the Parties under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be [Place of Execution], India. The courts having territorial jurisdiction over [Place of Execution] shall have exclusive jurisdiction.

SCHEDULE OF TERMS, COVENANTS & CONDITIONS(6 ACTIVE CLAUSES)
1. TENURE & TERM OF LEASE: The term of this lease/tenancy shall be for a fixed duration of {{duration_months}} months commencing on {{commencement_date}} and terminating on {{expiry_date}} unless renewed by mutual consent.
2. MONTHLY RENT & DUE DATE: The Second Party covenants to remit a monthly rent of Rs. {{monthly_rent}} payable in advance on or before the {{rent_due_day}} day of each calendar month.
3. REFUNDABLE SECURITY DEPOSIT: The Second Party has deposited an interest-free refundable security sum of Rs. {{security_deposit}} with the First Party, returnable within 7 banking days of vacant handover.
4. PERMITTED USE OF PREMISES: The demised premises shall be utilized exclusively for lawful residential dwelling purposes and shall not be converted into commercial or industrial use.
5. STATUTORY ARBITRATION (ACT 1996): Any dispute arising hereunder shall be referred to a sole arbitrator appointed mutually under the Arbitration and Conciliation Act, 1996, with seat of arbitration in the execution city.
6. SUB-LEASE & ASSIGNMENT PROHIBITION: The Second Party is strictly prohibited from sub-letting, parting with possession, or assigning any portion of the premises to third parties without prior written consent.
